Terms of Service — CNXT commercial terms

The commercial terms governing payments, subscriptions, and settlement across the CNXT network — what you agree to when value moves on the rail.

1. Scope

These Terms apply to paid services across the network, including $://CNXTPaY, #://CNXTMeMBeRx memberships, $://CNXTCLOUD, and any other suite where you transact or subscribe. They supplement the Conditions of Use.

2. Payments & wallet

  • CNXTPaY wallet balances are adjusted only through recorded transactions; balances are never set arbitrarily.
  • You authorize CNXT to charge your selected method for orders and subscriptions you place.
  • All charges are shown in full before you confirm.

3. Subscriptions & renewals

Memberships and subscription services renew automatically at the then-current price until cancelled. You can cancel anytime from Your Account; access continues through the end of the paid period.

4. Refunds

Refunds follow our Returns & Replacements policy for goods, and the cancellation terms stated for each service. Refunds to a CNXTPaY wallet are instant; other methods follow your provider's timing.

5. Service availability

We work to keep the network available 24/7 but do not guarantee uninterrupted service. Planned maintenance and material incidents are communicated through network status surfaces.

6. Termination

You may stop using paid services at any time. We may suspend or end services for non-payment, fraud, or breach of these Terms, settling any balances owed in either direction.

7. Limitation of liability

To the fullest extent permitted by law, $://THeCeNTRaLDesK's aggregate liability for any claim relating to a paid service is limited to the amount you paid for that service in the preceding twelve months.

8. THeoPeNAiDesK CNXTioNPaRTNeR — the ChatGPT connector

The THeoPeNAiDesK CNXTioNPaRTNeR connector provides curated CNXT information, public status and census reads, discovery over the public network, non-binding offer quotes, hypothetical profitability models, launch-requirement lists, governed connection-request intake, and — for signed-in CNXT operators — campaign drafting in CNXT Draftroom.

No financial execution. The connector does not execute payments, settle MPP or x402 charges, mint payment credentials, transfer treasury funds, provision infrastructure, send external messages, create Stripe checkout sessions, issue refunds, or book revenue. A connection-request record is not an order, a contract, a purchase authorization, a mandate, or a promise to deliver. A campaign draft consumes your own daily Draftroom allowance and CNXT-billed proxy tokens; it does not debit a wallet, settle a transaction, or publish anything.

Quotes and models. Offers and quotes are non-binding unless incorporated into a separately executed agreement. Test prices are not booked revenue. Network-issued operating capital and modeled valuations are not cash. Known supplier contribution is not profit. Profitability output may be incomplete and stays null where a required cost is missing — it is never filled in.

The one paid read. Some deployments of the connector serve a premium dataset read at a per-call price disclosed in the tool itself before the call; it debits the caller's own CNXT wallet, never a card, and a read that cannot be delivered is not charged. The connector as submitted to ChatGPT does not serve that tool, and nothing in it buys anything.

  • You must provide accurate, authorized information; review a request preview before submission; reuse a stable idempotency key for the same intended request; and independently verify dated public counts and commercial assumptions before relying on them.
  • You must not submit secrets, personal contact data, payment data, private agreements, unlawful content, or data you lack authority to provide, and must not attempt to bypass OAuth, rate limits, tenant isolation, safety controls, or tool exclusions.
  • CNXT labels, editions, and catalogue entries do not establish affiliation, ownership, participation, sponsorship, or endorsement by similarly named third parties. OpenAI's services, and Stripe's where you pay elsewhere on the network, are governed by their own terms.
  • Refunds and support for anything you do buy on the network follow section 4, section 10, and the Support page; the connector itself sells nothing.

9. Text messages — the desk line program terms

Program description. CNXT ($://THeCeNTRaLDesK) sends text messages from +1 (650) 307-5424 to people who opt in at /texts: replies to your requests, links you ask for, receipts for your own transactions, and notices about your own account. There are no marketing campaigns and no broadcast texts.

Frequency and cost. Message frequency varies with what you ask for. Message and data rates may apply; carrier charges are yours. Consent to receive texts is not a condition of any purchase or membership.

Cancel and help. Reply STOP to any message to cancel, or use the unsubscribe form at /texts. Reply HELP for help, or use the channels on the Support page. Every message is checked against the newest consent record for the number before it is sent.

Carriers. Wireless carriers are not liable for delayed or undelivered messages. Until US carrier (10DLC) registration of the line completes, and until the line's STOP/HELP handler is connected, the line does not send texts; consent given before then is checked, not assumed, once sending is enabled.

Privacy. How mobile numbers and consent records are handled is stated in Privacy Policy section 8; mobile information is not shared with third parties or affiliates for marketing or promotional purposes.
